1. Who we are and what these terms cover

StoCu, also known as Storefront Curator, is a Shopify app operated by StandoutApps LLC, a Montana limited liability company ("we," "us," or "our"). These Terms of Service (the "Terms") are an agreement between us and the business that installs or uses StoCu ("you"). They cover the app, its admin pages, the blocks it adds to your store, its assistant connections, and any support we provide (together, the "Service").

By installing or using the Service, you agree to these Terms. If you do not agree, do not install or use the Service. Our Privacy Policy explains how we handle information and is part of these Terms.

2. Who can use the Service

The Service is for businesses that run a Shopify store. You must be at least 18 years old and have the authority to accept these Terms for the store and the business you represent. Any staff member, contractor, or agent you allow to use the Service acts on your behalf, and you are responsible for what they do with it.

3. The Service

StoCu lets you design content blocks called tiles and place them on supported Shopify customer account, order, thank you, and checkout pages. Depending on your plan, the Service may include templates, forms, display rules, scheduling, product and collection content, custom pages, tile metrics, assistant connections, and a brand library for sharing tiles between stores.

Which pages and features are available depends on your plan, your Shopify plan, and what Shopify supports. Some features, such as checkout placement, may require a particular Shopify plan. Some setup steps happen in Shopify's own editor, outside the Service.

You are responsible for reviewing how your tiles look and behave on your live store, including on phones, for different customers, and under any rules or schedules you set.

4. Plans, trials, and billing

Current plans, prices, and trial periods are shown on the plan page in your Shopify admin. Shopify bills you for the Service on your Shopify invoice, and Shopify's terms apply to that billing. You are responsible for any taxes that apply.

If your plan includes a free trial, the charges begin when the trial ends unless you cancel first. A store that uses an earlier StoCu plan stays on that plan until the plan is changed or ended.

You can change plans from the plan page, and you can cancel at any time by uninstalling the app. Features that are not included in your plan may stop working, and tiles that use them may stop appearing to your customers, even though they stay saved in the app.

We may change our plans or prices. We will tell you before a price increase takes effect, and Shopify may ask you to approve it. Refunds and credits follow Shopify's billing rules for apps. Otherwise, fees you have already paid are non-refundable, except where the law requires a refund.

5. Your content

"Your Content" means the tiles, text, images, links, rules, and other material you or your assistants add to the Service, including answers your customers submit through your forms. You keep ownership of Your Content.

You give us a non-exclusive, worldwide, royalty-free license to host, copy, process, and display Your Content only as needed to run, secure, support, and improve the Service. This license ends when Your Content is removed from the Service, except for copies we must keep under the law or copies in routine backups until they expire.

You confirm that you have the rights needed to use Your Content in the Service, and that Your Content, including any offers, prices, product claims, and discounts it describes, is accurate and lawful.

6. Your customers and their information

You run your store and your relationship with your customers. You decide what your tiles show and what your forms ask. You are responsible for giving your customers any notices your privacy policy or the law requires, and for getting any consent you need, including before sending them marketing.

Do not use forms to collect passwords, payment card numbers, government identification numbers, health information, or other sensitive information, and do not use them to collect information from children.

When we handle information about your customers through the Service, we do so to provide the Service to you and as described in our Privacy Policy.

7. Acceptable use

You agree not to, and not to let anyone else:

8. AI assistants and automated tools

The Service can work with assistants and other automated tools, including Shopify Sidekick and third-party AI assistants you connect yourself. You choose whether to connect them, and you can disconnect them at any time.

Anything an assistant does through a connection or key you or your staff approved counts as your use of the Service, including creating, changing, placing, or publishing tiles and creating rules. Keep your keys private. Tell us right away if you think one has been exposed, and revoke it from the Assistants page.

AI output can be wrong, incomplete, or unsuitable. Review it before you rely on it. Third-party assistants are not part of the Service. Their providers' terms and privacy practices apply to anything you share with them, and we are not responsible for how they behave or what they produce.

9. Brand library

If you join a brand, the tiles you share can be seen and copied by the other stores in that brand. Only share tiles with stores you trust, and only share content you have the right to share. A copy belongs to the store that made it and can stay in that store after you stop sharing or leave the brand. Each store is responsible for its own copies, including checking links, products, images, and rules before going live.

10. Shopify and other third parties

The Service runs on Shopify and depends on Shopify's platform and on other providers we use to run it. We do not control those parties. If Shopify or another provider changes, limits, or stops a feature, the Service may change or stop working as a result. Shopify is not a party to these Terms and is not responsible for the Service.

11. Our property

We and our licensors own the Service, including its software, design, templates, and documentation, along with the StoCu and Storefront Curator names and logos. While these Terms are in effect, we give you a limited, non-exclusive, non-transferable right to use the Service for your stores. You may use our templates in tiles for your own stores, but you may not offer them as templates or designs to others. All other rights are reserved.

If you send us ideas or feedback, we may use them without restriction or payment to you.

12. Changes and support

We may add, change, or remove parts of the Service. Features marked as early access or preview may change or end at any time. If we plan to remove a major paid feature, we will try to give you reasonable notice. We offer support through the Help page in the app and at team@storefrontcurator.com, and we do not guarantee a response time or that the Service will always be available.

13. Suspension and ending these Terms

You can end these Terms at any time by uninstalling the app. When you uninstall, your tiles stop appearing on your store. Our Privacy Policy explains what happens to your data after that.

We may suspend or end your access if you break these Terms, if your use creates a security or legal risk, if your account goes unpaid, or if we stop offering the Service. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.

Sections 5 (for existing obligations), 6, 11, and 14 through 18 continue after these Terms end, along with any other term that by its nature should continue.

14. Disclaimers

TO THE EXTENT THE LAW ALLOWS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL MEET YOUR NEEDS, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT, SUCH AS MORE SALES OR ENGAGEMENT. METRICS IN THE SERVICE ARE ESTIMATES AND MAY BE INCOMPLETE.

15. Limit of liability

TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST GOODWILL, EVEN IF TOLD THEY WERE POSSIBLE.

TO THE EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT LED TO THE CLAIM, OR (B) US$100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, willful injury, or violation of law. These limits are not meant to fully exempt either party from responsibility for its own conduct. If any part of this section cannot be enforced for a particular claim, the rest continues to apply to the greatest extent the law allows.

16. Indemnity

To the extent the law allows, you will defend and hold us harmless from third-party claims, and related costs and reasonable attorneys' fees, that arise from Your Content, your store or products, your dealings with your customers, or your breach of these Terms. This does not apply to the extent a claim is caused by our own breach of these Terms, negligence, or willful misconduct. We will tell you about the claim and give you reasonable help at your expense.

17. Governing law and disputes

The laws of the State of Montana govern these Terms, without regard to its conflict of law rules. Before starting a legal claim, please email us at team@storefrontcurator.com so we can try to resolve the issue together. Unless the law requires otherwise, any legal claim relating to these Terms or the Service will be brought in the state or federal courts located in Montana, and both parties consent to the jurisdiction of those courts.
